Junior Corporate Lawyer

Job description

We are seeking a
Junior Corporate Lawyer
to join our in-house legal team supporting

the firm's private equity investment activities. The successful candidate will play a key

role in assisting with the legal aspects of executing portfolio investments, exits, and co-

investment arrangements. This is an ideal opportunity for a motivated junior lawyer to

develop a sophisticated understanding of private equity fund operations and

transactional work within a dynamic investment platform.

Key responsibilities:

1. Deal Execution

Assist with the legal aspects of fund investments, including negotiating, drafting and

reviewing:

• NDAs, term sheets, letters of intent, investment agreements.
• Shareholders' agreements and governance documents, options.
• Ancillary documents for setting up new vehicles, acquisitions, financings, and
• exits.
• Coordinate with deal teams on due diligence, closing processes, and post-
• closing integration.
• Maintain records of portfolio company documentation and monitor ongoing
• compliance.
• Interact with portfolio companies regarding reporting, compliance and other

• matters.

• Internal Governance and Risk Management

• Support internal business teams in deal origination, negotiations and executions.

• Support the drafting and maintenance of internal investment governance policies.
• Prepare board and committee materials, resolutions, and legal memoranda.
• Participate in reviews of fund performance documentation and governance
• effectiveness.
• Monitor evolving legal, tax, and regulatory trends affecting investment funds and
• long-term institutional investors.

Qualifications:

• Law degree from a recognized university.
• 2–3 years of experience at a top-tier law firm or investment firm, ideally focused
• on private equity, or M&A transactions.
• Strong drafting and analytical skills; ability to interpret complex documentation.
• Excellent communication skills and proficiency in Russian and English.
