Overview

A major international power development venture in Uzbekistan is seeking a
Chief Legal & Compliance Officer (CLCO)
to join its executive leadership team. The company is developing a landmark combined-cycle gas power plant, expected to become the most efficient generating capacity in Central Asia.

As part of the C-suite, the CLCO will play a pivotal role in shaping the legal and compliance framework of the business, ensuring robust governance, and supporting commercial success. This role requires deep legal expertise, fluency in local and international regulatory environments, and the ability to engage effectively with government stakeholders, lenders, and engineering contractors.

Key Responsibilities

• Ensure full compliance of the company's operations with the legislation of the Republic of Uzbekistan and relevant international regulations.
• Develop, implement, and maintain internal compliance policies, procedures, and controls.
• Provide legal support on corporate, contractual, labor, regulatory, and other business matters.
• Draft, review, and negotiate contracts and agreements, including project documentation, Power Purchase Agreements (PPAs), and EPC contracts.
• Monitor legislative and regulatory changes affecting the company and advise the board and management accordingly.
• Represent the company in dealings with state bodies, regulators, and in legal proceedings as required.
• Conduct compliance risk assessments and internal audits; investigate and resolve potential breaches of law, policy, or ethical standards.
• Lead training programs for employees on compliance, ethics, and corporate governance.
• Provide strategic legal advice on corporate risks and implications of business decisions at board and executive level.

Qualifications & Experience

• Law degree required; advanced qualifications (LL.M. or equivalent international legal training) strongly preferred.
• 7–10+ years of progressive legal experience, including compliance, ideally within international companies, large local enterprises, or leading law firms.
• Expertise in corporate, commercial, labor, and regulatory law in Uzbekistan.
• Strong background in infrastructure/energy project contracts, particularly PPAs and EPC agreements.
• Proven track record in compliance frameworks, risk management, and corporate governance.
• Excellent drafting, negotiation, and analytical skills.
• High ethical standards, integrity, and sound judgment.

Language & Communication

• Fluent Uzbek and Russian
  required.
• Strong English (business/legal proficiency) highly desirable.
• Excellent interpersonal and stakeholder management skills, with the ability to operate at C-suite and board level.
